Terms and Conditions

Welcome to Gooeyun. These terms and conditions and all applicable service-specific terms ("Terms of Service" or "Agreement") govern your access to and use of any website, mobile site, mobile application, product or service provided by Gooe. (hereinafter referred to as "Gooeyun", "we", "us", "our") is provided under the plan you purchased (hereinafter referred to as the "Service"), provided that Gooeyun Enterprise, Gooeyun Business Plan, and all other products and services are available to Gooeyun Business and Business Users are not subject to these Terms.

By accessing and using the Services in any way, you "accept" and agree to be bound by these Terms of Service, but excluding all other terms. If you accept these Terms completely and unconditionally, you will not (and have no right to use) access or use the Services. If the terms of this Agreement are taken into account, acceptance is limited to such terms. These terms should be read in conjunction with Gooeyun's Privacy Policy and Copyright Policy.

In these Terms of Service, wherever you use the terms "you", "your", "customer" or similar terms, you are referring to the individual or legal entity accessing or using the Service. If you are accessing and using the Services on behalf of a company (e.g., your employer) or another legal entity, you represent and warrant that you have the authority to bind that company or other legal entity to these Terms of Service.

We reserve the right to update and change any or all of these Terms of Service at any time in our sole discretion, including, but not limited to, fees associated with the use of the Services. If we do, we will post the modified Terms of Service, but we will, in our sole discretion, notify you of any changes that materially affect the Terms of Service. Your continued use of the Services following any such changes constitutes your agreement to such changes. If the change has a material adverse effect on you and you have entered into a contract and paid for a certain period of time, you may notify us within 30 days of becoming aware of the change that you do not agree to the change. If you do so, we will delay the application of the changes to you until your prepayment period expires or, in our sole discretion, allow you to cancel your account and we will refund any prepayment on a pro-rata basis. If you use our Services after the end of the prepaid period, all changes will apply to you. It is your responsibility to review the most current version of these Terms of Service periodically. When we change these Terms of Service, we will revise the "Last Modified Date" above.

1. "Authorized User" means an individual who accesses the Services directly through the online registration process, or who is authorized by you to use the Services and who has been provided with a user ID and password. Authorized Users may include your employees, consultants, contractors, agents, or other designees, but not any employees or agents of any Gooeyun competitor.
"Authorization Form" means a document issued by Gooeyun and issued by or otherwise agreed to by you or your authorized representative, which specifies, inter alia, the description of the Service, the fee, the number of seats purchased, the validity period and any other details specifically related to the Service.

"Customer Content" means all information and data (including text, images, photographs, video, audio, and documents) or any other content or format in any other media and format provided by or on behalf of you to Gooeyun or by you on behalf of your use of the Services.

"Mentions" means information publicly available and obtained from the Internet on your behalf, including links, posts and excerpts, and data obtained therefrom, including reports, summaries, charts and graphs.

"Seat" means a single subscription associated with a single sign-on service and assigned to an Authorized User.

"Taxes" means all taxes, assessments, charges, fees and levies that may be levied under the sale or licensing of goods and/or services, as the case may be, including all sales, use, goods and services, surcharges and excise taxes, duties, assessment fees and any installments related thereto, and any interest, penalties and penalties related thereto, the value of which is levied by any government agency (including federal, state, provincial, municipal, and foreign government agencies).

"Third-Party Services" means products, services, applications, or websites provided by third parties through the Services (i.e., companies or persons who are not Gooeyun Platform).

"Services" means the services provided by Gooeyun to you according to the plan you purchase through online transactions or authorization forms, but does not include third-party services.

"Supported Platforms" means the social networking sites currently supported by the Services, including Youtube, Twitter, Facebook, LinkedIn, Instagram and other social networking sites as described through the Website. By using the features of the Platform, the user agrees to be bound by the YouTube Privacy Policy (http://www.google.com/policies/privacy)

"Fair Usage Policy" means the Usage Restrictions described in Section 2.6.

2. Gooeyun Service
2.1 Service. During the term of the term, subject to the terms and conditions of this Agreement, and solely for your personal or internal business purposes, Gooeyun grants you and your Authorized Users the right to access and use our Services to purchase the number of seats purchased, as well as support, if applicable, according to the plan you choose.

2.2 Updates and Features. You acknowledge that Gooeyun may apply updates to the Services from time to time and that such updates may cause changes in the appearance and/or functionality of the Services (including adding, modifying, or removing functionality, features, or content). In addition to adding brand-new products, Gooeyun will, at its own expense, provide, implement, configure, install, support, and maintain, as well as all updates, upgrades, enhancements, improvements, releases, corrections, bug fixes, patches, and modifications to the Services: Services (collectively, "Updates"). You acknowledge that the Services are interoperable with more than one Supported Platform and that the Services provided are highly dependent on the availability of such Supported Platforms.
